Terms and Conditions


A) General Terms and Conditions

To clients who wish to purchase any of TopPost’s Hashtag Marketing Service Plan (The Service)

    1. We may offer, vary, suspend or withdraw different benefits, schemes or arrangements under the Service. The time required to become and maintain as a TopPost may vary among different hashtags, according to the competitiveness depending on the number of search results of the respective hashtag.
    2. The purchase of any plans in the Service is governed by these Terms and Conditions and any other terms and conditions specified by us from time to time.
    3. If any dispute arises in relation to the Service, our decision or (if applicable) the relevant party’s decision is final. Such dispute may include (a) any dispute over your eligibility for enrolment, (b) your entitlement to benefits retaining as a TopPost on Instagram or (c) any other dispute between you and us.
    4. We may offer brief suggestions and comments concerning multiple aspects of your post after the review process, yet we focused on strategic tags marketing, suggestions are only for reference and are not necessarily a guaranteed part of our service of the purchased in the plan.
    5. Clients reserve the ultimate right to decide the text, images/ video of the post, thus, we are not responsible for the design or content of the post.
    6. No additional fee will be otherwise charged for administration or startup work for new members.
    7. All payments already made to us are non-refundable unless none of the registered posts in the provided hashtag(s) was successfully promoted as TopPost throughout the contract period. (not applicable to Free Trial Plan)
    8. If clients are found ineligible before the start of the service term, the service payment will be refunded. (not applicable to Free Trial Plan) Yet, in any other circumstances,all payment made are non-refundable once the service term begins.
    9. Only ONE Instagram account is bounded to the registered TopPost account. Clients are not allowed to transfer his TopPost membership to any third party, or another Instagram account.
    10. Normally, post reviewing process (including the IAP Scoring for new TopPost users) will be completed within 1-3 working days.

Eligibility of Clients

    1. Only participants who meet the standards set by us are eligible for the Service. We have the right to modify the requirements of eligibility for the Service from time to time. The requirements may include:
      1. a passing score from the Instagram Account Performance (IAP) evaluation; or
      2. any arrangements under any of the service plan of our Service.

Eligible participants will automatically proceed to their purchased plan after receiving a confirmation email of successful payment.

    1. We have the right to terminate your service plan in the Service if:
      1. violate any of the Terms and conditions; or
      2. there is any fraud or abuse of our service; or
      3. you conduct any other dishonest or illegal commercial behaviour.

Posts / Hashtags Validity

    1. Hashtag(s) in the Service support only Traditional Chinese, Simplified Chinese and English.
    2. To prevent hashtag competition, the same hashtag will only be used by at most 9 clients concurrently, on the basis of first come first served.
    3. A registered post will be regarded as invalid if:
      1. it is unposted during the contract period; or
      2. it is posted but subsequently cancelled

No service charge will be refunded and no extra post quota will be granted for any invalid posts.

    1. During service period of a TopPost, you may comprise the potential of your TopPost if you:
      1. post not according to the scheduled time as provided in your TopPost purchase order; or
      2. edit the text and images of your post once it was published

If you insist on conducting the above operations, we will not guarantee the success of the TopPost.

    1. We are not responsible for the failure of any post-edited or late post. No service charge for the failure of these post(s) will be refunded and no extra post quota will be granted. Therefore, you are highly recommended to double check all content before publishing any Instagram post

Clients Responsibility

    1. During contract period of your plan, you must not:
      1. promote any unlawful activities with your Instagram account; or
      2. publish any post consisting sensitive elements, including:
        1. violence, sex, coarse language, adult themes, etc.; or
        2. drug use, nudity, and any unlawful content; or
        3. any forms of discrimination or insulting wording to a third party

We may terminate your service without prior notice upon the violation of any of the above regulations.

    1. During service period of your TopPost, you must not:
      1. add or remove any hashtag(s) once the post was published; or
      2. use hashtags, whether registered or unregistered, in any unregistered Instagram post
      3. use unregistered hashtags in any Instagram posts, whether registered or unregistered
      4. issuing a new post to replace an old post which share the same content and the same set of hashtag

The above operations may cause the failure of a TopPost, and thus, are strictly prohibited. We reserve the right to end your service by notice once any violation of the above regulations was found.

    1. During the service period, you are allowed post without using any hashtags, subjected to regulation A14. You should also beware that post-editing text and images of any posts, whether with or without hashtags, may sacrifice your IAP.
    2. You should be aware that adopting dishonest or illegal commercial strategies (i.e. buy likes and share) will undermine your IAP score and the marketing effect, and thus, are strongly discouraged.
    3. You are obligated to issue the post punctually according to the scheduled posting time. (Post published within 30 minutes before or after the scheduled posting time is considered punctual.) Late post may not be guaranteed successful unless prior notice of changing scheduled posting time is accepted and confirmed. (*Refer to Section E for further details)
    4. Changing scheduled posting time of your post may involve extra administrative work and thus is not encouraged. You are highly recommended to confirm the actual posting time before submitting your TopPost order.
    5. Your TopPost order cannot be cancelled once it was submitted. Therefore, You are highly recommended to double check all information before submitting your order since editing information of your purchase order may involve extra administrative work.
    6. You are highly recommended not to change any Instagram account information under the enrolment of our plan as this may affect your IAP score and the potential of the account to make a TopPost.

Miscellaneous

  1. We shall, under no circumstance, be liable for any loss, whether direct or indirect, in connection with the depreciation of Customer’s revenue, loss of profits or any consequential loss whatsoever caused as a result of the Customer’s use of the service provided herein.
  2. The general terms and conditions set out in Section A of these Terms and Conditions apply to all plans under the Service. If any such benefit, scheme or arrangement is also governed by further terms and conditions, the further terms and conditions prevail over the general terms and conditions to the extent of any inconsistency between them. Such further terms and conditions may be set out in these Terms and Conditions or separately.
  3. We have the right to modify and to interpret the Terms and Conditions relating to the Service from time to time without prior notice.
  4. No person other than you and us will have any right under the Contracts (Rights of Third Parties) Ordinance to enforce or enjoy the benefit of any of the provisions of these Terms and Conditions.
  5. These Terms and Conditions are governed by and will be construed according to Hong Kong laws. You are submitted to the non-exclusive jurisdiction of the Hong Kong courts.
  6. The English version of these Terms and Conditions prevails to the extent of any inconsistency between the English and the Chinese versions. Any Chinese version of these Terms and Conditions is for reference only.

B) Free Trial Plan

    1. Your post in the Free Trial Plan is guaranteed to be successfully promoted as TopPost within the contract period.
    2. The contract period of the Free Trial Plan is one month, starting from the day of successful order. Your service term starts from the day when your post was published.
    3. The reviewed post with the selected hashtag must be published within the contract period and as scheduled in your order.

Eligibility

    1. Only new registered member who has never purchased our service can enjoy a Free Trial Plan.
    2. Each account can only participate in the Free Trial Plan Once only.

Hashtags and Post count

    1. You can select 1 hashtag from the 10 suggested hashtags in our provided list of hashtag options.
    2. All hashtags in the suggested list under the Free Trial Plan consist of a search result with no more than 5,000 Instagram posts respectively.
    3. The selected hashtag used in your post during the contract period cannot be changed throughout the contract once the service term begins.
    4. You can only use your selected hashtag in 1 post for the free trial.
    5. Clients are not allowed to use non-purchased hashtag(s) to publish any other unregistered posts throughout the contract period since the promotion of your ordered post order will be affected.

Placing an order

    1. To place an order, clients must provide all the required information of the post, including the text, images/videos, and scheduled posting time, for post review. You will receive a confirmation email once your order is successful. Appropriate hashtags (if applicable) will be provided to customers before the scheduled posting time. To achieve best service quality, you are encouraged to submit your order as early as possible.
    2. A successful order should be made at least 1 working day before the scheduled posting time for marketing preparation. You should be aware that the time for last order is by 6 pm of each working day. Order received after 6 pm will be postponed to the consecutive working day.
    3. After the end of the contract term, a hashtag report, including screen captures as prove and a performance record, will be sent to client’s email account within 5 working days.

Termination of Service /Contract

  1. Clients will receive documentation email when the service term and contract period is completed. The Free Trial Plan contract will automatically endafter the contrat period is over.
  2. If a client wishes to terminate the Free Trial Plan prior to the end of the contract, you should notify us (at least) one working day before termination. All services in the plan will terminate on the following working day after your termination request is accepted and confirmed.

C) Changing of scheduled posting time

  1. Clients are not allowed to bring forward the scheduled posting time, yet you are allowed to postpone of scheduled posting date by informing us the new scheduled time.
  2. Clients must submit the new posting schedule time before the originally scheduled posting time, otherwise, it will be considered a late post and does not guarantee success.
  3. The new scheduled time should be submitted at least one working day before posting, to reserve time for marketing preparation.

Definitions and Terminology

Hong Kong means the Hong Kong Special Administrative Region of the People’s Republic of China.
Service means TopPost’s Hashtag Marketing Service
we, us, our means TopPost.io, Unicorn Creative Limited
you or your means clients who purchase our Service
TopPost means one of first nine top posts shown in the search result of a certain hashtag
Contract Validation period / Contract period means the time period starting from the day (or the consecutive working day) when the purchase payment is successful until the all service of the plan is completed.
Service period/ Service term means the valid service term stated service term as according to the rate card, starting from the day that the first TopPost published.
Maximum Post quota/ Maximum TopPost quota means the maximum number of TopPost order you can make within a service term and the number of post that you are allowed to published with hashtags during the service term as stated in your plan contract.
Maximum Hashtag quota means the maximum frequency that a certain registered hashtag can appear in valid Instagram posts of respective plan within the service period. It is only applicable to unsuccessful TopPost in the consecutive monthly cycle in the Monthly Plan
Effective from 1 Jan 2018
NOTE: In case of discrepancies between the English and Chinese versions, the English version shall apply and prevail.
